The AMEU is a nonprofit common law association founded on a constitution that was first adopted in 1915. Its membership consists of electricity distribution utilities in Southern Africa. Commercial companies active in this sector may join the association as affiliates. 

The association is governed by an executive council comprising representatives of all the structures of the organisation. Utilities are represented by engineer members, ordinary members, and councillors designated by these utility members.
